These Terms of Service ("Terms") govern your access to and use of cleanaudio.io ("the Website", "we", "us", or "our"), an AI-powered audio enhancement service. By accessing or using our services, you agree to be bound by these Terms.

Privacy Policy: Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

Grandfathering: These Terms apply to subscriptions and purchases made on or after the Effective Date. Subscriptions and credits purchased before this date continue under the terms accepted at the time of purchase, until renewal or expiration.

1. Description of Service

cleanaudio.io provides AI-driven noise reduction and audio enhancement tools. You understand that our service uses artificial intelligence; therefore, the quality of the output depends on the quality of the input and the nature of the background noise. We do not guarantee specific results for every file processed.

2. User Accounts

If you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3. Usage & Fair Use

Eligibility: You must be at least 18 years old (or the legal age of majority in your jurisdiction) to use this service.

File Limits: Individual file uploads are limited to 500 MB and 60 minutes in length. We reserve the right to modify these limits at any time.

PRO Fair-Use Policy: The PRO Unlimited subscription is intended for individual creator use. A fair-use cap of up to 30 hours of audio processing per billing cycle applies. The cap resets at the start of each new billing cycle. Most users won't reach this limit.

Acceptable Use: You agree not to:

• Use automated tools, scripts, or bots to bypass usage limits.
• Operate cleanaudio.io as a wholesale or white-label service to third parties (for example, building a competing API on top of our service).
• Share account credentials or use multiple accounts to evade limits.
• Reverse-engineer or attempt to extract our AI models.

Prohibited Content: You agree not to upload any content that:

• Is illegal, harmful, threatening, or promotes discrimination.
• Infringes upon any third-party intellectual property rights (copyrights, trademarks, etc.).
• Contains viruses or malicious code designed to interrupt or damage our infrastructure.

4. Intellectual Property & Ownership

User Content: You retain full ownership and all intellectual property rights to the original files you upload and the enhanced files generated by the service.

Our License: By using the service, you grant us a temporary, limited, non-exclusive license to process your files solely for the purpose of providing the enhancement service.

Our Assets: The Website's interface, AI algorithms, software, and branding are the exclusive property of cleanaudio.io.

5. Data Retention & 24-Hour Policy

Automatic Deletion: As part of our commitment to privacy, all uploaded and processed files are automatically and permanently deleted from our servers 24 hours after processing.

Responsibility to Backup: It is your sole responsibility to download and backup your processed files immediately. We are not liable for any data loss occurring after the 24-hour deletion window.

No AI Training: We do not use your uploaded content to train or improve any AI models. Your files are processed solely to deliver the enhancement service.

6. Payments and Refunds

Free Preview: We offer a free 30-second cleaned audio preview so you can evaluate the quality of our processing before making a purchase.

PRO Unlimited Subscription: Billed monthly at the rate stated on our pricing page. You may cancel at any time from your account page; cancellation takes effect at the end of the current billing cycle, and you will not be charged for the next cycle. The fair-use policy in Section 3 applies.

Pay As You Go Credits: Sold as one-time packs and deducted by audio duration as you process files. Credits are valid for 1 year from the purchase date. Unused credits do not roll over after expiration.

14-Day Money-Back Guarantee: Get a full refund within 14 days of any purchase, as long as you haven't started processing audio yet. Just email [email protected] and we'll handle it within 5-10 business days.

For active subscriptions, you can cancel anytime to stop future billing — renewal charges and subsequent monthly payments fall outside this guarantee. Try our free 30-second preview to evaluate quality before subscribing.

Pricing Changes: We may modify pricing with 30 days written notice. Existing subscriptions continue at their locked-in rates until renewal or cancellation. Prices may vary by currency, taxes, payment method, promotions, introductory offers, and location-based availability. Promotional and introductory prices are not retroactive unless explicitly stated.

7. Disclaimers & Limitation of Liability

"As-Is" Basis: The service is provided "as-is" and "as-available" without any warranties of any kind.

Technical Errors: We do not warrant that the service will be uninterrupted, error-free, or that the results will meet your specific requirements.

Limitation of Liability: To the maximum extent permitted by law, cleanaudio.io shall not be liable for any indirect, incidental, or consequential damages arising from your use of the service.

8. Indemnification

You agree to indemnify, defend, and hold harmless cleanaudio.io and its operators from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your User Content, your violation of these Terms, or your infringement of any third-party rights.

9. Dispute Resolution & Class Action Waiver

Any disputes arising out of or relating to these Terms or our service shall be resolved through binding individual arbitration, rather than in court. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration. This Section does not prevent either party from seeking injunctive relief in court for intellectual property infringement.

10. Modification of Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Effective Date" at the top of this document. Your continued use of the service after such changes constitutes your acceptance of the new Terms.

11. Termination

We reserve the right to suspend or terminate your access to the service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users or our business interests.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
